Mr. Jeffrey is Counsel in the Litigation Department of Seyfarth Shaw's New York office. He has substantial litigation experience and represents a wide variety of clients at the trial and appellate levels in state and federal courts with an emphasis in complex commercial and business litigation, including:

  • Representation of both master servicers and special servicers in litigations involving their CMBS portfolios;
  • Officer and director defense;
  • Shareholder derivative actions;
  • Trade secret and non-competition agreement disputes;
  • Corporate dissolutions;
  • Partnership disputes;
  • RICO claims;
  • Defamation claims;
  • Fiduciary matters;
  • Business tort claims; and
  • Commercial and luxury residential real estate litigation.

Representative Engagements

  • Defense of CMBS master servicers and special servicers, as parties and non-parties, in connection with disputes among lenders in complex, multi-tiered capital stacks, including loan participants, senior/subordinate and pari-pasu co-lenders and mezzanine lenders.
  • Obtained complete defense verdict after trial in the federal Southern District of New York on behalf of international art dealer, Art International (UK), in Edelman Arts v. Art International (UK), a case arising from a failed back to back transaction for the purchase and sale of a $7 million painting by Piet Mondrian and involving international discovery under the EU Data Protection Act and unique issues under the Uniform Commercial Code.
  • Obtained favorable settlement following substantial discovery and mediation in defense of publisher ImpreMedia and newspaper El Diario La Prensa against defamation claim.
  • Defense of developer Toll Brothers, Inc. in $21.5 million specific performance claim involving the failed purchase and sale of property abutting the Gowanus Canal in Brooklyn, New York, intended for residential development, following the United States Environmental Protection Agency’s announcement to designate, and subsequent designation of, the Gowanus Canal as a Superfund site under the Comprehensive Environmental Response Compensation and Liability Act, as amended, 42 U.S.C. 9601 et seq.
  • Assisted lead counsel in obtaining favorable settlement following successful motions to dismiss complaint and amended complaint in defense of entity, officers and directors in complex preferred shareholder action in Aboushanab, et al. v. Janay, et al., (S.D.N.Y. 2007), alleging fraud and breach of fiduciary duty.
  • Obtained favorable settlement following discovery in defense of Trustee Deutsche Bank Trust Company, N.A., in Surrogate's Court action involving administration and management of trust and corresponding earned commissions.
  • Obtained favorable settlement following successful motion to dismiss broker complaint in representation of Core Group Marketing LLC and officers and directors in defense of action commenced by former real estate broker seeking brokerage fees allegedly due, and in connection with related counter claim for theft of trade secrets and defamation.
  • On behalf of Marsh USA, Inc., obtained favorable resolution of action predicated upon alleged misrepresentations concerning the suitability of a captive insurance program, and the required amount and duration of a required letter of credit.
  • Representation of limited liability company in Federal Interpleader action commenced by Citgroup Global Markets, Inc., involving competing ownership claims of approximately $7.4 million in securities.
  • Representation of Board of Directors of commercial cooperative building in New York City in litigation with shareholder regarding ownership and control over the sale of excess development ("air") rights.
  • Obtained dismissal of complaint in Pu v. Charles H. Greenthal, et al. (S.D.N.Y.), alleging civil racketeering pursuant to 18 U.S.C. § 1962 (RICO) and violations of the Fair Debt Collection Practices Act, 15 U.S.C. § 1692 on behalf of managing agent and Board of Directors of New York City residential condominium.
  • Obtained favorable settlement in defense of commercial property owner in New York City in action alleging violations of Title III of the Americans with Disabilities Act, 42 U.S.C. § 12181, et seq.
  • Obtained dismissal of complaint in defense of dental practice in action alleging violations of restrictive covenants and various zoning laws.
