Biography
Mr. McFadden is senior counsel in the Corporate Department in the Houston Office of Seyfarth Shaw LLP, where he focuses his practice on a variety of contractual and other legal matters, including: mergers and asset transactions; real estate matters; financing and debt transactions; service, consulting and licensing agreements (including software); negotiation of retail leases; construction agreements; hedging and fixed forward pricing arrangements; Board of Directors matters; annual and quarterly reports, proxy filings, earnings releases, press releases and other public filings made with the Securities and Exchange Commission; corporate and franchise development arrangements; corporate minutes, resolutions and intercompany agreements; and various restructuring and bankruptcy related matters.
Mr. McFadden currently represents a national restaurant company in connection with franchise and area development agreements with partners in Australia, Japan, Mexico and the Middle East. In addition, he is also serving as outside general counsel in connection with a national gaming company's hotel and casino properties. Mr. McFadden also serves as outside general counsel to a national construction services company.
Prior to joining the firm, Mr. McFadden served as Vice President & Associate General Counsel of Landry's, Inc., a dining, hospitality and entertainment company which owns and operates over 300 restaurants, hotels, casinos, aquariums and other attractions nationwide. Previous to that, he was the Staff Vice President & Associate General Counsel of ExpressJet Airlines, Inc. ExpressJet was a publicly traded (NYSE) regional airline that operated over 275 aircraft for major airlines such as Continental, United and Delta and was acquired by SkyWest, Inc. in a merger transaction that Mr. McFadden played an active role in negotiating.
During his in-house tenure, Mr. McFadden acted as General Counsel of five subsidiary companies and also served on the Board of Directors of three companies.
