Deborah Gordon, Vice-Chair of the Corporate Department and the Co-Chair of the Health Law Practice Group of Seyfarth Shaw LLP, concentrates her practice in healthcare transactions and healthcare regulatory compliance and restrictions. Ms. Gordon regularly structures various types of healthcare transactions, such as mergers and acquisitions, lending, investment, and equity transactions, divestitures, joint ventures, supply agreements, license agreements, distribution agreements, purchasing agreements, clinical trial agreements, employment agreements, compliance plans, management agreements, and outsourcing arrangements.  Ms. Gordon is also a frequent lecturer and author on healthcare transactions and regulatory matters.

Ms. Gordon actively counsels and represents general corporate and health care clients, including health care providers, PPOs, long term care facilities, hospitals, surgical centers, physician associations, physician groups, pharmaceutical companies, medical device companies, and biotech companies.  She also handles commercial and real estate finance transactions, syndications, loan acquisitions, and participations, particularly in the health care and pharmaceutical industry.

Ms. Gordon regularly advises health care clients on fraud and abuse, self-referral prohibitions, licensing, corporate practice of medicine, fee splitting, compliance, privacy, HIPAA, false claims, managed care, certificate of need, telemedicine, and other health care regulatory issues, including those contained in the Patient Protection and Affordable Care Act.  She has structured corporate compliance programs and participates in various health care providers’ compliance committees and compensation committees. 

Ms. Gordon has earned her Green Belt certificate in the firm’s Six Sigma program, and is a member of the firm's Health Reform Team.  This cross-departmental team of lawyers was formed to focus on how health care reform will affect our clients
