Ellen N. Sueda is senior counsel in the Employee Benefits & Executive Compensation department of Seyfarth Shaw LLP. Employers value her dedication to serving as a collaborative and strategic partner for businesses, and for finding practical, creative and innovative solutions.
Ms. Sueda advises and counsels employers on tax law compliance, securities law compliance, and relevant employment laws related to executive and equity compensation. She has particular experience in public company representation, including golden parachute issues and conversion of stock options. Her practice focus includes non-qualified deferred compensation plans, stock option plans, employee stock purchase plans, restricted stock plans, change in control plans and executive employment, and retention and severance agreements. Other services provided by Ms. Sueda include: preparing plan documents, associated agreements and communications; advising on establishment and implementation of programs and ongoing compliance; preparing and advising on disclosure documents for publicly-traded companies; preparing materials for and presenting to board of directors and compensation committees; and advising on and preparing documents related to corporate transactions, including mergers, acquisitions, divestitures and post-close integration.
Ms. Sueda frequently publishes, lectures and presents on subjects related to executive and equity compensation. She was appointed a member of the ALI-ABA Employee Benefits Advisory Panel.
