Biography
Mr. Sack is an attorney in the Chicago office of Seyfarth Shaw LLP with over 40 years of experience in business law and tax exempt organizations.
Mr. Sack serves as general and special counsel to public charities and private foundations. He advises these clients on organization and governance, indemnification and fiduciary matters, conflicts of interest, executive compensation; mergers, split-ups, terminations, and conversions; IRS audits; supporting organizations; lobbying and political intervention; intermediate sanctions; unrelated business income; tax-exempt and taxable financing; fundraising; international grant making; scholarship programs; donor advised funds; charitable gift annuities; endowment funds and UPMIFA; joint venturing and co-venturing with for-profit entities. Mr. Sack also advises for-profit businesses and business owners on corporate, commercial, regulatory and compliance matters.
Mr. Sack has also served as general counsel to public and private for-profit companies in manufacturing and distribution, real estate development and management, investment management, retail and other fields. He also represents business owners and executives.
Among his recent accomplishments, Mr. Sack has handled the merger of two public charities and their supporting foundations, handled an IRS audit of a national professional healthcare association; restructured the philanthropies of a large family office; advised a public charity on issuing commercial paper; represented national charities in chapter disputes; advised on the split up of a private foundation; redesigned the venture capital investment program of a public charity to avoid conflicts of interest, excess benefits and private inurement; advised a charity on restructuring its endowment funds; represented executives and employers, for-profit and not-for-profit, in compensation matters; advised company foundations on self-dealing issues; and advised public charities on IRS Form 990 issues and multi-state registration requirements.
