Mr. Miller is Chair of the Employee Benefits & Executive Compensation Department of Seyfarth Shaw LLP.  Mr. Miller has been practicing in the employee benefits and executive compensation fields for twenty years.  He has substantial experience advising public and private companies as to the design, implementation, and operation of their retirement and welfare benefit programs and their executive compensation matters.

Employee Benefits.  Mr. Miller regularly advises companies on both qualified retirement plan and welfare plan design and regulatory compliance.  He has specific qualified plan experience with issues relating to tax compliance, plan funding, fiduciary liability, plan assets, prohibited transactions, and mergers and acquisitions, as well as the use of employer securities within tax-qualified plans.  He also regularly advises clients on welfare plan matters relating to insured and self-funded health plans, COBRA, short- and long-term disability programs, and reductions in force and severance programs.  He has substantial experience in retiree medical arrangements and in collective bargaining relating to employee benefits.

Executive Compensation Arrangements.  Mr. Miller has extensive experience advising companies on compensation philosophy and design, as well as the implementation of nonqualified retirement plans, supplemental retirement plans, deferred compensation plans, and phantom and equity compensation programs, including stock award plans, incentive and nonqualified option plans, and stock purchase plans.  Mr. Miller has substantial experience in 409A compliance, executive employment contracts and change in control agreements, and in executive reductions, severance, and transition.
