Mr. Cornell is a partner in the Firm’s Corporate Department. He is a transaction-oriented corporate lawyer with experience in finance and business combinations, including mergers and acquisitions, private equity, mezzanine investments, secured lending, workouts and restructuring. Mr. Cornell also acts as counsel to a number of corporations on general corporate matters, including employment contracts, equipment purchases, relationships with customers and suppliers, licensing and advice to boards of directors. Representative Engagements

M&A
Represented Main Steel Polishing, Inc. and its shareholders in the sale of the company, which is the largest stainless steel processing company in the United States, with facilities in six states, to Shale-Inland LLC, a private equity backed company in the stamping/fabricating industry.
Represented equipment dealer and servicer with thirteen locations to management group and strategic buyer in three related transactions.

Finance
Represented senior lender in revolving credit and term loan facilities to holding company and subsidiaries that own and operate six railroads, a railcar repair business and rail equipment leasing company.  Coordinated with UK counsel with respect to a separate facility for UK operations.

General Corporate
General Counsel to global provider of protective packaging and other specialty packaging products operating 47 facilities in 19 countries of the world.
