Multiple proposals on how to handle the country’s paid sick leave patchwork, each of which will require much work before becoming a reality, have been introduced in Congress. We will examine several of these proposals, including whether they would actually provide an antidote to the paid sick leave epidemic.

Join us on August 28 to learn how these new paid sick leave developments affect you, and the current prospects for potential federal involvement.

Register Here

If you have any questions, please contact Cassie Peterson at clpeterson@seyfarth.com and reference this event.
*CLE Credit for this webinar has been awarded in the following states: CA, IL, NJ and NY. Changes to certain depreciation and expensing rules lowered the cost of acquiring capital assets, providing tax benefits and planning opportunities to businesses.

The new expensing and cost recovery changes the analysis for cost recovery in determining the appropriate tax treatment for tangible property expenditures. Before tax reform, taxpayers could deduct 50% of the cost of tangible personal property placed in service during the tax year followed and apply accelerated depreciation to the remaining 50% of the cost.

Now, taxpayers may take 100% bonus depreciation on qualified property acquired and placed in service after Sept. 27, 2017, subject to a phase-out beginning in the year 2023. The definition of “qualified property” has also been expanded to include used assets subject to specific limitations.

The expansion of IRC §179 increases the maximum amount a taxpayer may expense up to $1 million and increases the threshold amount to $2.5 million, expanding the availability of IRC §179 to more taxpayers. IRC §179 property now includes specific depreciable tangible personal property, and the definition of “qualified property” for IRC §179 purposes now covers some improvements made to nonresidential real property as well. Tax professionals and advisers must be knowledgeable of the requirements and nuances of the new depreciation and expensing rules to properly advise and develop tax saving techniques for taxpayers.

The panel will provide a detailed analysis of the new rules for depreciation and expensing and provides planning considerations for tax professionals and advisers.

Key issues discussed will include:

Application of the depreciation and expensing rules under current tax law

Bonus depreciation challenges and limitations

IRC §179 expansion and deduction requirements

Determining “qualified property” bonus depreciation and IRC §179 purposes

Limitations on personal use property

Understanding the recovery periods for real property and considerations for electing out of interest expense deduction limitations

Comparing bonus depreciation and IRC §179 in deductions and factors regarding NOL limitations

Planning methods to ensure tax savings for taxpayers

http://www.seyfarth.com:80/events/Webinar072418-LIT Protecting Trade Secrets from Cyber and Other Threats http://www.seyfarth.com:80/events/Webinar072418-LIT Tue, 24 Jul 2018 00:00:00 -0400
Trade secrets are critical intellectual property for most businesses. A burgeoning use for the cannabis plant is in the multi-billion dollar health and beauty market. Due to the current flux in legalization and the ongoing friction between state and federal governments in the United States, there remains uncertainty as to the legality of using cannabis, or its various extracts and byproducts, in health and beauty products. Perhaps more concerning is the lack of regulation of these products and the numerous statements as to the benefits of cannabis and its extracts.

This presentation will address the following topics:

The distinction between cannabis, marijuana, and hemp

The difference between hempseed oil and CBD oil

The legal and regulatory framework of these various plants and products in everyday health and beauty products

Current enforcement and/or litigation trends and forecast

http://www.seyfarth.com:80/events/Webinar071118-LE The Massachusetts Paid Family And Medical Leave Law—What It Means For You http://www.seyfarth.com:80/events/Webinar071118-LE Wed, 11 Jul 2018 00:00:00 -0400
On June 28, Governor Baker signed into law “An Act Relative To Minimum Wage, Paid Family Medical Leave And The Sales Tax Holiday.” Please join Seyfarth Shaw’s Boston team for an informative webinar focusing on a review of the new law.

This session will provide detailed insight on what the Massachusetts Paid Family And Medical Leave Law means for your company and employees. Although many of the law changes that carried the potential to disrupt real estate capital markets expectations were specifically designed not to apply to real estate businesses, other changes impact REITs and other real estate businesses and their investors. Real estate counsel should be conversant on these changes.

Tax reform maintains like kind exchanges for real estate and retains the ability of real estate trades and businesses to deduct net interest expense. It also creates a new 20% tax deduction for pass-through businesses and revises the rules regarding cost recovery. It amends Code §179 to increase deduction thresholds and expands on the types of improvements which may be expensed. Historic tax credits have been scaled back, while low income housing tax credits are unaffected.

Holders of carried interest in certain types of partnerships, including private equity and real estate funds, must now hold the interest for three years to receive long-term capital gain treatment. Correcting what many thought was the wrongly decided Grecian Magnesite Mining Tax Court case, gain or loss from the sale of a partnership interest by a foreign partner as effectively connected income (ECI) is taxable in the U.S. and imposes certain withholding requirements on the purchaser.

The panel will provide real estate counsel with a working knowledge of the new tax reform law as it relates to REITs and other real estate investment structures, and will include the impact of tax reform on pass-through deductions, cost recovery, carried interest, existing tax credit programs and more.

Key issues discussed will include:

What impact should tax reform be expected to have on the commercial real estate industry?

What impact could the new pass-through business deduction and the reduction in corporate income tax rate on entity choice in real estate businesses?

How might the new cost recovery and §179 affect property improvements and expenditures?

Will the new rules on carried interest have any impact on investment structuring?

http://www.seyfarth.com:80/events/TSG-053118 Jaime Raba a Panelist for "Operational Risks in Public Token Sales (Or: Security, Security, Security)” at The Seminar Group’s Blockchain Technology and Token Offerings Conference http://www.seyfarth.com:80/events/TSG-053118 Thu, 31 May 2018 00:00:00 -0400
Jaime Raba, counsel in the eDiscovery and Information Governance practice group of Seyfarth’s San Francisco office, is presenting "Operational Risks in Public Token Sales (Or: Security, Security, Security) at The Seminar Group’s Blockchain Technology and Token Offerings: Back to the Future conference on May 31 - June 1, 2018.

The recent rise in the use of public token offerings (or what some people refer to as initial coin offerings, or ICOs) to raise capital compels an evaluation of the legal, structural, and operational issues raised by this relatively new form of financing. Public token offerings are outpacing the establishment of comprehensive and clear regulatory scheme under U.S. securities laws. As a result, every public token sale must be independently evaluated to ensure compliance with securities laws.

This two-day seminar will explain token sales from end to end. This has elevated DB plan management on the finance agenda, and in response, plan sponsors are exploring strategic ways to “de-risk” their plans.

Compared with just 10 years ago, plan sponsors now have more solutions available than ever before, and it can be difficult to settle on a course of action. Companies cannot simply react to these real business risks to their data after the data is compromised. By then, it’s too late.

To address these recurrent issues, Seyfarth Shaw helps clients protect their important assets and effectively manage risk by conducting trade secret audits. Our experience has shown that companies gain tremendous value by taking a proactive, systematic approach to assessing and protecting their trade secret portfolios through a Trade Secret Audit. In Seyfarth’s third installment in its 2018 Trade Secrets Webinar Series, Seyfarth attorneys Kate Perrelli, Dawn Mertineit, Justin Beyer, and Andrew Stark will cover the following topics:

Identifying trade secrets and secrecy protections

Effective secrecy protections, including employment and non-compete agreements

Effective hiring and termination protocols, including effective exit interviews and termination protocols

Employing a comprehensive approach and trade secret protection plan

Managing and working to protect computer-stored data, including responding to emergency issues related to computer fraud and security breaches

If you have any questions, please contact Colleen Vest at cvest@seyfarth.com and reference this event.

*CLE Credit for this webinar has been awarded in the following states: CA, IL, NJ and NY.
