In this program, the panelists will discuss the NLRB&rsquo;s role in shaping federal labor law, recent developments at the Board, other potential changes in direction by the NLRB, and what employers should already be considering, including:</div> <ul> <li> How the NLRB&rsquo;s structure and operation brings about changes in the way the National Labor Relations Act is interpreted and applied.&nbsp;</li> <li> What to expect from the NLRB regarding the rules for union organizing (including the abandonment of &quot;micro&quot; bargaining units and &quot;quickie&quot; elections, and different standards for blocking charges and objectionable conduct).&nbsp;</li> <li> What unionized employers can expect from the NLRB (including the obligation to discuss discipline with the union before a first contract is reached, management rights clauses and union waivers, changes in benefits after contract expiration, arbitral deferral, striker replacement limitations, and other issues).&nbsp;</li> <li> What both non-union and unionized employers should be thinking about now in assessing their current policies and practices to prepare for and adapt to these potential changes.</li> </ul> <div> <a href="http://marketing.seyfarth.com/reaction/RSGenPage.asp?RSID=7ocenLzGiVvqc_WVv_OwMtiPKnd_olgd1kFvoAJtYcuRpLsugw9z8AV50FvPtmF4&amp;RS_REFERRSID=7ocenLzGiVvqc_WVv_OwMvLKlQ-r6z-4aGPGygU_V8A&amp;RS_REFERRSTYPE=NO&amp;RS_ORIGRSID=7ocenLzGiVvqc_WVv_OwMvLKlQ-r6z-4aGPGygU_V8A">Register Here</a></div> <div> &nbsp;</div> <div> <em>If you have any questions, please contact Carlos Cortes at&nbsp;<a href="mailto:ccortes@seyfarth.com">ccortes@seyfarth.com</a>&nbsp;and reference this event.</em></div> http://www.seyfarth.com:80/events/HRForum060718NY HR Forum: Recent New York State and New York City Laws Governing Sexual Harassment http://www.seyfarth.com:80/events/HRForum060718NY Thu, 07 Jun 2018 00:00:00 -0400 <p> On April 12, 2018, New York Governor Andrew Cuomo signed comprehensive legislation designed to combat sexual harassment in the workplace.&nbsp; On May 9, 2018, New York City Mayor Bill de Blasio signed the <strong>Stop Sexual Harassment in NYC Act</strong>.&nbsp; In this HR Forum, we will discuss the new State and City legislation, the expected impact on private employers, and what employers can do now in order to comply.&nbsp;<br /> <br /> The discussion will&nbsp;include:</p> <ul> <li> Mandatory Training and Policies &nbsp;</li> <li> Anti-Harassment Posters &amp; New Hire Information Sheets&nbsp;</li> <li> Mandatory Arbitration Provisions</li> <li> Non-Disclosure Agreements</li> <li> Extension of Coverage of State and City Human Rights Law</li> </ul> <p> <a href="http://marketing.seyfarth.com/reaction/RSGenPage.asp?RSID=jyRE_gM_qmHmO3kkOjMW2OjmIdOr-_i1VxzJIsejQ5l51Z3sClBKbmLfjgE44pDK&amp;RS_REFERRSID=jyRE_gM_qmHmO3kkOjMW2BwJ0Rc_F5AhCelXB9908AxaVIkcozUZbQ4miuXipAMT&amp;RS_REFERRSTYPE=NO&amp;RS_ORIGRSID=jyRE_gM_qmHmO3kkOjMW2BwJ0Rc_F5AhCelXB9908AxaVIkcozUZbQ4miuXipAMT">Register Here</a></p> <p> <em>If you have any questions, please contact Laurie Green at <a href="mailto:lgreen@seyfarth.com">lgreen@seyfarth.com</a> and reference this event.</em></p> http://www.seyfarth.com:80/events/SunriseSession-060618 Suzanne Saxman, Andrew Lucano, and Whitney Schmidt to Present "What's Market in Middle-Market M&A Indemnity Deal Terms" at ACG Chicago Sunrise Session http://www.seyfarth.com:80/events/SunriseSession-060618 Wed, 06 Jun 2018 00:00:00 -0400 <div> Suzanne Saxman, partner of Seyfarth&#39;s Corporate department and chair of the Mergers &amp; Acquisitions practice group, Andrew Lucano, partner of Seyfarth&#39;s Corporate department and vice-chair of the M&amp;A group, and Whitney Schmidt, associate in Seyfarth&#39;s Corporate department and M&amp;A group, are presenting &quot;What&#39;s Market in Middle-Market M&amp;A Indemnity Deal Terms&quot;&nbsp;at the ACG Chicago Sunrise Session on June 6, 2018.</div> <div> &nbsp;</div> <div> Is the 2018 middle-market M&amp;A environment still seller friendly? Although many of the law changes that carried the potential to disrupt real estate capital markets expectations were specifically designed not to apply to real estate businesses, other changes impact REITs and other real estate businesses and their investors. Real estate counsel should be conversant on these changes.</div> <div> &nbsp;</div> <div> Tax reform maintains like kind exchanges for real estate and retains the ability of real estate trades and businesses to deduct net interest expense. It also creates a new 20% tax deduction for pass-through businesses and revises the rules regarding cost recovery. It amends Code &sect;179 to increase deduction thresholds and expands on the types of improvements which may be expensed. Historic tax credits have been scaled back, while low income housing tax credits are unaffected.</div> <div> &nbsp;</div> <div> Holders of carried interest in certain types of partnerships, including private equity and real estate funds, must now hold the interest for three years to receive long-term capital gain treatment. Correcting what many thought was the wrongly decided Grecian Magnesite Mining Tax Court case, gain or loss from the sale of a partnership interest by a foreign partner as effectively connected income (ECI) is taxable in the U.S. and imposes certain withholding requirements on the purchaser.</div> <div> &nbsp;</div> <div> The panel will provide real estate counsel with a working knowledge of the new tax reform law as it relates to REITs and other real estate investment structures, and will include the impact of tax reform on pass-through deductions, cost recovery, carried interest, existing tax credit programs and more.</div> <div> &nbsp;</div> <div> Key issues discussed will include:</div> <ul> <li> What impact should tax reform be expected to have on the commercial real estate industry?</li> <li> What impact could the new pass-through business deduction and the reduction in corporate income tax rate on entity choice in real estate businesses?</li> <li> How might the new cost recovery and &sect;179 affect property improvements and expenditures?</li> <li> Will the new rules on carried interest have any impact on investment structuring?</li> </ul> http://www.seyfarth.com:80/events/TSG-053118 Jaime Raba a Panelist for "Operational Risks in Public Token Sales (Or: Security, Security, Security)” at The Seminar Group’s Blockchain Technology and Token Offerings Conference http://www.seyfarth.com:80/events/TSG-053118 Thu, 31 May 2018 00:00:00 -0400 <div> Jaime Raba, counsel in the eDiscovery and Information Governance practice group of Seyfarth&rsquo;s San Francisco office, is presenting &quot;Operational Risks in Public Token Sales (Or: Security, Security, Security) at The Seminar Group&rsquo;s Blockchain Technology and Token Offerings: Back to the Future conference on May 31 - June 1, 2018.</div> <div> &nbsp;</div> <div> The recent rise in the use of public token offerings (or what some people refer to as initial coin offerings, or ICOs) to raise capital compels an evaluation of the legal, structural, and operational issues raised by this relatively new form of financing. Public token offerings are outpacing the establishment of comprehensive and clear regulatory scheme under U.S. securities laws. As a result, every public token sale must be independently evaluated to ensure compliance with securities laws.</div> <div> &nbsp;</div> <div> This two-day seminar will explain token sales from end to end. Companies cannot simply react to these real business risks to their data after the data is compromised. By then, it&rsquo;s too late.&nbsp;</p> <p> To address these recurrent issues, Seyfarth Shaw helps clients protect their important assets and effectively manage risk by conducting trade secret audits. Our experience has shown that companies gain tremendous value by taking a proactive, systematic approach to assessing and protecting their trade secret portfolios through a Trade Secret Audit. In Seyfarth&rsquo;s third installment in its 2018 Trade Secrets Webinar Series, Seyfarth attorneys Kate Perrelli, Dawn Mertineit, Justin Beyer, and Andrew Stark will cover the following topics:</p> <ul> <li> Identifying trade secrets and secrecy protections&nbsp;</li> <li> Effective secrecy protections, including employment and non-compete agreements&nbsp;</li> <li> Effective hiring and termination protocols, including effective exit interviews and termination protocols&nbsp;</li> <li> Employing a comprehensive approach and trade secret protection plan&nbsp;</li> <li> Managing and working to protect computer-stored data, including responding to emergency issues related to computer fraud and security breaches</li> </ul> <p style="margin: 15pt 0in 12pt; color: rgb(82, 97, 102); font-family: Arial, Helvetica, sans-serif; font-size: 13px; line-height: 15.6px;"> &nbsp;</p> <p style="margin: 15pt 0in 12pt; color: rgb(82, 97, 102); font-family: Arial, Helvetica, sans-serif; font-size: 13px; line-height: 15.6px;"> <em><span style="font-family: Arial, sans-serif; color: black;">If you have any questions, please contact Colleen Vest at&nbsp;<a class="cms-content-links" href="mailto:cvest@seyfarth.com?subject=May%2022%20Trade%20Secrets%20Webinar" style="text-decoration-line: none; color: rgb(0, 168, 225); cursor: pointer;">cvest@seyfarth.com</a>&nbsp;and reference this event.</span></em><span style="font-family: Arial, sans-serif; color: black;"><o:p></o:p></span></p> <p style="margin: 0px 0px 18px; color: rgb(82, 97, 102); font-family: Arial, Helvetica, sans-serif; font-size: 13px;"> *CLE Credit for this webinar has been awarded in the following states: CA, IL, NJ and NY. Many of these changes impacted all employers, not just those with unionized workforces. The NLRB policed employer policies and handbooks and challenged discipline issued to employees for their social media posts.&nbsp; With a new Administration, the rules are likely to change again&mdash;and employers need to be prepared and know how to respond. Plus, unions are likely to alter their tactics in light of anticipated changes at the NLRB.<br /> <br /> Please join us for a program especially focused on the issues confronted by in-house employment counsel who do not regularly deal with unions. We are pleased to welcome former Member of the NLRB and&nbsp;our colleague&nbsp;<strong>Marshall Babson</strong> who will provide insights on what to expect in the coming year. In this program, the panelists will discuss how the NLRB goes about interpreting federal labor law, potential changes in direction by the NLRB, and what employers should be considering now, including:</p> <ul> <li> What to expect from the NLRB regarding the rules for union organizing (including the abandonment of &ldquo;micro&rdquo; bargaining units and &ldquo;quickie&rdquo; elections, and different standards for blocking charges and objectionable conduct)</li> <li> What non-union employers can expect from the NLRB (including handbook and policy issues, class action arbitration waivers, disclaimers, and the scope of employees&rsquo; rights to a representative during investigatory interviews)</li> <li> What unionized employers can expect from the NLRB (including the obligation to discuss discipline with union before a first contract is reached, managements rights clauses and union waivers, changes in benefits after contract expiration, arbitral deferral, striker replacement limitations, and other issues)&nbsp;&nbsp;</li> <li> What employers should be thinking about now in assessing their current policies and practices to prepare for and adapt to these potential changes</li> </ul> <p> <a href="http://marketing.seyfarth.com/reaction/RSGenPage.asp?RSID=EWMjVHnE95eSjhTnCEje2bHfyLN4o5L3JgXu-jQmpgr1LcoBKf8U02Yz3OVJZl4S&amp;RS_REFERRSID=EWMjVHnE95eSjhTnCEje2RE81bdrkFdKH_f6tZEhnh5d2RQ0-mrp971YBTrVBt7R&amp;RS_REFERRSTYPE=NO&amp;RS_ORIGRSID=EWMjVHnE95eSjhTnCEje2RE81bdrkFdKH_f6tZEhnh5d2RQ0-mrp971YBTrVBt7R">Register Here</a></p> http://www.seyfarth.com:80/events/Webinar041018-LE Equal Pay Day: Trends and Developments in Pay Equity Litigation in 2018 http://www.seyfarth.com:80/events/Webinar041018-LE Tue, 10 Apr 2018 00:00:00 -0400 <p> We hope you will join us on Equal Pay Day for a joint presentation of Seyfarth&rsquo;s Pay Equity and Complex Discrimination Litigation Groups, as we launch our <em>Trends and Developments in Pay Equity Litigation</em> report.</p> <p> The report and the webinar will:</p> <ul> <li> Provide a brief overview of the legislative trends;</li> <li> Discuss significant decisions and filings that have an impact on pay equity litigation in 2017 and 2018;</li> <li> Provide advice on navigating the rapidly developing landscape of pay equity legislation and decisional law.</li> </ul> <div style="color: rgb(82, 97, 102); font-family: Arial, Helvetica, sans-serif; font-size: 13px;"> <em>If you have any questions, please contact Cassie Peterson at&nbsp;<a class="cms-content-links" href="mailto:clpeterson@seyfarth.com" style="text-decoration-line: none; color: rgb(0, 168, 225); cursor: pointer;">clpeterson@seyfarth.com</a>&nbsp;and reference this event.</em></div> <div style="color: rgb(82, 97, 102); font-family: Arial, Helvetica, sans-serif; font-size: 13px;"> &nbsp;</div> <div style="color: rgb(82, 97, 102); font-family: Arial, Helvetica, sans-serif; font-size: 13px;"> *CLE Credit for this webinar has been awarded in the following states: CA, IL, NJ and NY. A common source of headaches for HR professionals and in-house legal advisors is dealing with FMLA and/or ADA-covered absences and requests for accommodations. The FMLA and ADA provide a number of protections for employees which often make employers feel as if they have no recourse. This is particularly frustrating when an employer believes that employees are abusing the system.<br /> <br /> This client briefing will provide ideas and tips for limiting employee abuse, while complying with the FMLA and ADA. The rule applies to pension or 401(k) plans if a plan fiduciary has discretionary authority to determine whether a participant is disabled under the plan terms. Plans must offer effective disability claims procedures, provide more information in denial letters, adhere to disclosure requirements, ensure an impartial process, and more.</div> <div> &nbsp;</div> <div> Nonqualified plans are still subject to the ERISA enforcement provisions and must contain claims procedures that comply with the regulations if the claim requires a determination of whether the participant has a disability. Counsel and benefits advisers must understand the implications of the new disability claims regulations and be proactive in reviewing plan documents and procedures to ensure compliance.</div> <div> &nbsp;</div> <div> This webinar will provide guidance on required procedures, disclosures and other necessary items of compliance and the best practices in handling disability claims.</div> <div> &nbsp;</div> <div> The panel will review these and other key issues:</div> <ul> <li> Identifying areas of concern based on the requirements of the final rule</li> <li> Determining the applicability of new requirements to current benefit plans</li> <li> Conducting internal review of claims and appeals processes, plan language, and notices</li> <li> Implementing necessary modifications and plan amendments to maintain compliance</li> <li> Establishing disability claims procedures in compliance with ERISA Section 503</li> </ul> <div> For more information and registration, <a href="https://www.straffordpub.com/products/new-dol-disability-claims-regulations-effects-on-employee-benefits-and-nonqualified-compensation-plans-2018-03-27" target="_blank">click here</a>.</div> <div> &nbsp;</div> http://www.seyfarth.com:80/events/Webinar032718-LIT Protecting Confidential Information and Client Relationships in the Financial Services Industry http://www.seyfarth.com:80/events/Webinar032718-LIT Tue, 27 Mar 2018 00:00:00 -0400 <p> In Seyfarth&rsquo;s second installment in its 2018 Trade Secrets Webinar Series, Seyfarth attorneys Scott Humphrey, Erik Weibust, and Marcus Mintz will focus on trade secret and client relationship considerations in the banking and financial services industry, with a particular focus on a firm&rsquo;s relationship with its FINRA members.<br /> <br /> The panel will address the following topics:</p> <ul> <li> Practical steps financial institutions can implement to protect trade secrets and client relationships</li> <li> What to do if your trade secrets are improperly removed or disclosed or if a former employee is violating his/her restrictive covenant agreements</li> <li> How to prosecute a case against a former employee who is a FINRA member</li> <li> The impact of the Protocol for Broker Recruiting on trade secrets and client relationships</li> </ul> <p> *CLE Credit for this webinar has been awarded in the following states: CA, IL, NJ and NY. Across all varieties of workplace litigation, the events of the past year demonstrate that the array of litigation issues facing businesses are continuing to accelerate at a rapid pace while also undergoing significant change. These challenges are especially acute for businesses in the context of complex workplace litigation. Adding to this mosaic of challenges in 2018 is the continuing evolution in federal policies based on a new political party occupying the White House for part of 2017.</div> <div> &nbsp;</div> <div> Furthermore, while changes to government priorities started on Inauguration Day and are on-going, others are being carried out by new leadership at the agency level who were appointed in the fourth quarter of this past year. As expected, many changes represent stark reversals in policy that are sure to have a cascading impact on private class action litigation. While predictions about the future of workplace class action litigation may cover a wide array of potential outcomes, the one sure bet is that change is inevitable and corporate America will continue to face new litigation challenges.</div> <div> &nbsp;</div> <div> In our workplace class action webinar, highlights from the Report will outline a number of key trends for employers, including:&nbsp;</div> <ul> <li> The implications of the Supreme Court&rsquo;s key decisions on complex employment litigation and class action issues of 2017, and discussion of the cases accepted for review that are posed for rulings in 2018 and what it means for employers in the coming year</li> <li> The key rulings in class actions in 2017 in ERISA, wage &amp; hour, and employment discrimination, and how businesses can use the lessons from those rulings in structuring their workplace compliance programs going-forward</li> <li> The background on successful strategies used by employers in defeating conditional certification motions and obtaining decertification of &sect; 216(b) collective actions in 2017 -- and what this means for employers in the litigation context 2018</li> <li> The dynamics behind why filings and settlements of government enforcement litigation in 2017 did not reflect a head-snapping pivot from the ideological pro-worker (or anti-big business) outlook of the Obama Administration to a pro-business, less regulation/litigation viewpoint of the Trump Administration, and what employers can expect in 2018</li> </ul> <p> If you attended our February 6 webcast with Gerald Maatman and Perry Cooper, we still encourage you to register for this upcoming webinar. We will further break down important class action decisions in every major area of workplace law, as well as provide employers with the tips needed to navigate a complicated class action landscape in 2018.</p> <p> *CLE Credit for this webinar has been awarded in the following states: CA, IL, NJ and NY.
