Biography
Ms. Kelly is a partner in the Employee Benefits Department of Seyfarth Shaw LLP. She focuses on employee benefits, executive compensation, and taxation. Her experience includes:
- drafting and designing executive compensation plans and employee benefit plan documents and amendments;
- counseling clients on benefit matters related to executive compensation, tax qualified plans and welfare plans, including IRS, DOL and SEC compliance;
- participating in meetings with, and reporting to, retirement committees including named senior executives;
- performing due diligence reviews for mergers and acquisitions, and integrating acquired plans;
- advising internal attorneys and local counsel on ERISA litigation issues;
- coordinating employee benefit discussions contained in proxy statements, annual reports and other reports and filings;
- registering stock with the SEC for various plans;
- drafting buy-sell agreements and employment agreements;
- drafting and supervising multiple cash balance conversions, which require coordination among benefit consultants, actuaries, legal counsel, and clients.
Ms. Kelly also has substantial experience with change in control agreements and stock option plans and agreements.
