Biography

Mr. Gannon's practice focuses on corporate transactions, franchise law matters and technology issues, Corporate and technology transaction matters include: mergers and acquisitions, joint ventures and strategic alliances, corporate finance transactions, information technology outsourcing transactions, software licensing, Internet and e-commerce arrangements and general corporate and securities matters. Franchise law matters include: structuring and documenting franchise, distributorship, joint venture, licensing, and other programs, drafting franchise agreements, UFOCs, franchise broker agreements, area developer agreements, and collateral documents, assisting with state registration, counseling on compliance with all elements of disclosure regulation (FTC Rule and state requirements), franchisee recruitment, and business opportunity laws, advising on franchise terminations and transfers, and counseling on compliance with federal and state relationship regulation.

Mr. Gannon has represented Internet Service providers, e-commerce providers and enablers, telecommunications service providers, software and systems developers and integrators and other technology product and service companies and franchisors and franchisees. Companies represented range in size from newly formed start-up entities to widely held public corporations.
