Biography
Ms. Saxman is a partner in the Chicago office of Seyfarth Shaw LLP. She concentrates her practice in general corporate matters, commercial transactions, and mergers and acquisitions.
Ms. Saxman counsels clients – from entrepreneurial start-up enterprises to large privately held companies – through each phase of their growth during times of economic prosperity and economic downturn. She advises on issues such as the ideal form of organization, business plans, equity and stockholder agreements, commercial transactions, exit strategies and dispute resolution. Beyond the start-up phase, Ms. Saxman also advises on business expansion opportunities, such as mergers and acquisitions, marketing, distribution and licensing agreements, joint ventures, spin-offs and outsourcing. She assists boards and entrepreneurs in the business and legal aspects of corporate governance, negotiating transactions and enhancing business value.
Ms. Saxman advises clients on commercial financing matters, public debt financing, revolving credit, secured and asset-based credit facilities. She represents clients in negotiating acquisition financing, private placements of debt and equity financing, and venture capital. Ms. Saxman also represents casino owners, managers, suppliers and lenders, providing corporate, commercial and licensing expertise. Among the gaming venues are those operated privately, on tribal lands, riverboats, land based, offshore and on the internet.
