Biography

Mr. Dorman is a partner in the Real Estate Practice Group of Seyfarth Shaw LLP. Mr. Dorman has handled all aspects of complex commercial real estate transactions for residential, retail, office, industrial and airport projects. Mr. Dorman has represented local and national developers, investors, retailers, lenders, borrowers, tenants and contractors in a broad range of transactionally oriented matters including, without limitation: (1) acquisitions and sales of vacant and improved property, land assemblages, air-rights deals, options, exchanges and sale-leasebacks; (2) ground-up development of shopping centers (including strip centers, community centers, power centers and regional malls), retail stores, office and industrial buildings and parks; (3) build-to-suit and reverse build-to-suit lease and purchase transactions; (4) complex construction, reciprocal easement and operation agreements and development agreements for the construction, maintenance, repair, replacement, management and operation of commercial developments; (5) acquisition, construction and permanent financing transactions (including conventional financing, leveraged sale-leaseback and synthetic lease transactions); (6) extensive lease and sublease work for all form of real estate product, including ground leases, building, warehouse, office space, store, parking garage and telecommunication/cellular facility leases; (7) various license and sublicense issues, including airport concession licenses; (8) all forms of temporary and permanent easements for construction, support, encroachments, access, utilities, storm water management, parking, signage and no-build and conservation easements; (9) various land use, condemnation, environmental, wetland, tax increment financing, sales tax rebate and other negotiations and agreements with local, state and federal governmental agencies and authorities; (10) property management and related litigation and bankruptcy issues arising in the real estate context; (11) corporate real estate transactions including transactions incidental to mergers, acquisitions, divestitures, corporate downsizing and other corporate transactions, as well as various real estate aspects of client’s securities offerings; and (12) the coordination and handling of all aspects of the due diligence and entitlements process for all types of projects including leading a development team for a major national retailer consisting of real estate, construction, site development, environmental, legal and engineering consultants with respect to over 10 million square feet of retail product.
