Mark Mengelberg

Biography

Mr. Mengelberg is a partner in the Real Estate Practice Group of the San Francisco office of Seyfarth Shaw LLP.  Mr. Mengelberg’s practice spans the entire spectrum of transactional real estate, including acquisitions and dispositions, financing, development, joint venture formation, and leasing. His real property acquisitions and dispositions practice includes representing buyers and sellers in complex purchase, sale and 1031 exchange transactions involving industrial, office, retail, mixed-use, and agricultural properties, including some the largest Class-A office projects in the United States.

Mr. Mengelberg's leasing practice includes the representation of both landlords and tenants in leases of office, industrial and retail space located throughout the United States, as well as the preparation and negotiation of listing and brokerage services agreements.  His financing experience includes representing borrowers and lenders on the origination of loans (including CMBS loans) secured by office buildings located in California and throughout the United States, the negotiation of swap, cap and collar arrangements, the restructuring of distressed loans, and loan servicing matters.

Mr. Mengelberg has also represented both developers and investors in numerous residential and commercial development projects throughout California, including condominium projects.  His representation in these development projects includes the structuring and formation of complex joint ventures (using limited liability companies, limited partnerships, and tenants-in-common structures) as well as the negotiation and preparation of development agreements, construction contracts, completion guaranties, CC&Rs, easements, and management agreements.
