Biography

Ms. Gordon is a partner in the Chicago office of Seyfarth Shaw LLP. She concentrates her practice in general corporate law with a specialization in the health care industry. She advises clients in the areas of general business, finance, mergers and acquisitions, health care, securities, regulatory, compliance, corporate governance, workouts, and privacy.

Ms. Gordon regularly structures various types of business transactions, such as mergers and acquisitions, asset-based, cash-flow and real estate loan transactions, leveraged buyouts, mezzanine financing, convertible security issuances, real estate transactions, workouts, venture capital transactions, warrants, private placement memoranda, divestitures, joint ventures, supply agreements, license agreements, distribution agreements, purchasing agreements, employment agreements, compliance plans, and outsourcing arrangements.

Ms. Gordon has successfully represented general corporate and health care clients, including pharmaceutical companies, medical device companies, biotech companies, health care providers, HMOs, PPOs, long term care facilities, hospitals, surgical centers, physician associations and physician groups. She also represents borrowers and lenders in commercial and real estate finance transactions, syndications, loan acquisitions, and participations, particularly in the health care and pharmaceutical industry. In particular, Ms. Gordon focuses on distressed debt and workouts of health care facilities.

Ms. Gordon regularly advises health care clients on fraud and abuse, self-referral prohibitions, pharmaceutical pricing issues (including rebates, discounts and price reporting), corporate practice of medicine, fee splitting, compliance, privacy, HIPAA, false claims, antitrust, managed care, licensing, certificate of need, and other health care regulatory issues.

Ms. Gordon has earned her Green Belt certificate in the firm’s Six Sigma program.
