Sidney J. Hess, Jr.

Biography

Mr. Hess is Of Counsel in the Chicago office of Seyfarth Shaw LLP. He has more than 50 years of experience in the areas of corporate law, federal taxation and trusts and estates. He has counseled clients in areas such as corporate restructurings, leveraged buyouts, mergers and acquisitions, securities offerings, international distribution, tax-free real estate exchanges, limited partnerships, and estate tax planning.

Among his significant accomplishments, Mr. Hess achieved considerable tax savings for a client by obtaining an IRS private ruling permitting a holding company to spin off its only operating company while retaining only the marketable investment assets. He also structured a tax-free deferred exchange of a major downtown Chicago real estate property owned by a group of prominent real estate investors for rental properties in other states, utilizing an intervening partnership to accomplish other tax aspects of the transaction.
