Biography

Mr. Shapira is a partner in the Chicago office of Seyfarth Shaw LLP. He focuses his practice on the health care industry and has extensive transactional and regulatory experience. His practice is primarily devoted to representing physician groups with respect to the formation and/or consolidation of medical practices, physician practice sales and acquisitions, and the establishment of concierge/retainer practices. Mr. Shapira has worked with health care providers to address numerous operational issues, including the creation of exclusive provider arrangements, hospital/physician joint ventures and preparation of physician employment, compensation and governance agreements, as well as managed care provider agreements and establishment of ancillary services and facilities. He has drafted physician practice management agreements and has negotiated settlements and spin-offs of physician practices in the context of bankruptcy workouts. Mr. Shapira has also formed new corporate and limited liability companies in various jurisdictions and drafted bylaws and operating agreements for these entities.

An integral part of Mr. Shapira’s practice routinely involves advising clients on the impact of, and compliance with, state and federal statutes and regulations related to self-referral, fraud and abuse, and false claims. He has evaluated health care business and marketing strategies from a regulatory perspective, including state licensure issues, an dhas analyzed the impact of federal and state reimbursement policies, such as successor liability issues/options related to the assumption of Medicare provider agreements. Tom has negotiated false claim settlements and has analyzed physician recruitment arrangements, and has assisted clients with applications for Illinois Certificates of Need and Certificates of Exemption and the potential issues related to such approvals.

In the context of institutional health care providers, Mr. Shapira has represented numerous hospitals and health systems in connection with mergers and acquisitions, exclusive provider agreements, residency programs, and tax exempt financing. Specifically with respect to hospital medical staffs, he has assisted in physician peer review matters and prepared medical staff presenters and witnesses for medical staff hearings. He has revised medical staff bylaws to ensure compliance with state and federal laws involving fair hearing process, peer review immunity and confidentiality, and has counseled clients on matters related to physician credentialing.

From 2005 to 2008, Mr. Shapira has been selected to Illinois Super Lawyers.
