Biography
Mr. Cutshall is an associate in the Corporate and Securities practice group at Seyfarth Shaw, and is a member of the Investment Management Services Group. Mr. Cutshall has experience representing clients in a variety of investment management, corporate, and other securities matters, including the representation of mutual funds, fund independent directors, investment advisers, other investment companies, broker-dealers, and a variety of public and private companies. He represents clients in all aspects of investment company practice, including organizing new funds, the acquisitions and mergers of funds, and advising clients on the day-to-day aspects of SEC compliance.
Mr. Cutshall also has experience representing clients in the formation of corporate entities, sophisticated contract negotiations, and the sales or acquisitions of businesses. He has worked extensively side-by-side with the in-house General Counsel and Assistant General Counsel at a Fortune 500 client of the firm, including working from the client’s corporate headquarters at the client’s request over a period of eight to ten months. Mr. Cutshall assisted a variety of the client’s sales, marketing, and legal teams in all aspects of their business, from the initial review and selection of vendors based on RFPs received by the client, through the drafting, negotiation, and execution of multi-million dollar supply and vendor agreements.
