Andrew has over 20 years of experience in advising banks and trust companies in connection with their trust and agency services on domestic and cross-border financing transactions. Andrew's practice includes advising financial institutions on a variety of securitizations and structured finance deals, with a particular emphasis on representing trustees, paying agents, collateral administrators, administrative agents, collateral agents, securities intermediaries, and document custodians in collateralized loan obligation (CLO), mortgage-backed securities (MBS) and asset-backed securities (ABS) transactions, and other structured finance facilities.
In the CLO space, Andrew represents trustees, collateral administrators, and other corporate service providers in broadly syndicated loan (BSL) and middle market CLOs, private credit, and leveraged loan facilities.
With regard to his representation of document custodians, Andrew negotiates custodial agreements and other transaction documents involving a variety of asset classes, including residential mortgages, auto loans, consumer loans, equipment leases, and commercial mortgages. Andrew also has extensive experience with respect to the custody of electronic collateral in electronic vaults (eVaults).
In addition, Andrew has represented landlords and tenants in office, industrial, and retail leasing transactions and buyers and sellers of real estate, and also counsels clients with respect to joint ventures, mergers and acquisitions, and corporate governance of both for-profit and nonprofit entities.
