Seyfarth Represents Kaufman, Hall & Associates in Acquisition of Axiom EPM

Seyfarth Shaw LLP advised Kaufman, Hall & Associates, the leading provider of strategic financial consulting services and software tools to healthcare organizations, in connection with its acquisition of Axiom EPM.

This strategic acquisition will enable Kaufman Hall to expand its software platform for its health care and other clients. The acquisition went from a letter of intent to closing in only seven weeks, and included completing both the acquisition of Axiom and a credit facility from The PrivateBank.

The deal team consisted of Ed Karlin, Matt Hafter, Colleen Gomos, and Mike Whitchurch (M&A), Ted Cornell (together with Colleen and Mike, finance), Mike Baniak and Ilan Barzilay (IP), Steve Meier and Mike Rosenthal (tax), Paul Drizner (tax, operating agreements), Adam Greetis and Zach Robert (benefits), Jason Stiehl (trade secret litigation), Tracy Billows (L&E), and Tobi Pinsky (real estate).

They worked closely with colleagues in the Project Management Office (Heather Eskra, Dustin Robinson, Jonathan Waldron and Ashley Earnshaw) to use Agile project management techniques and SeyfarthLink to manage transactions.
