The American Lawyer (Law.com) and the New York Law Journal both published an article by Seyfarth M&A co- chair Andrew Lucano and associate Moshe Berliner, “Risk, Reward, and Resilience: Middle-Market M&A’s 2025 Balancing Act,” highlighting key insights from Seyfarth’s 2025 Middle Market M&A Survey. Seyfarth’s proprietary research analyzes key transaction terms from more than 150 middle market private target acquisition agreements signed in 2024 and the first half of 2025.

“The 2024/2025 data paints a picture of a middle-market M&A environment that is recalibrating and renegotiating the balance of risk. Dealmakers are proceeding with discipline, structuring transactions to share risk more thoughtfully and preserve value amid continued uncertainty.
