Andrew Lucano quoted by Corporate Counsel, “It's a Seller's Market for M&A Indemnity”

Andrew Lucano was quoted in a March 30 story from Corporate Counsel on the firm’s 2015 “Middle Market M&A SurveyBook of Key Deal Terms” which examined nearly 300 private acquisition agreements signed in 2014. Lucano pointed to a trend not highlighted in the report that is having a big impact on M&A indemnification terms: more buyers are purchasing representation and warranty insurance to sweeten the deal for potential sellers and to supplement the sellers’ existing means for indemnification.
