"M&A Lawyers Beware: Immigration Risks Lurk in Your Next Deal"

Seyfarth Shaw's Immigration partner, Angelo Paparelli, was published in the October 27 edition of the New York Law Journal. Angelo's article outlines a variety of immigration concerns lurking in M&A deals and suggests precautions that counsel for buyers and sellers should consider when advising their clients.  In particular, the article suggests due diligence checklist tips and recommends the use of independent third-party immigration audits to flesh out violations, identify unauthorized workers, determine the scope of indemnification and adjust the sale price if immigration risks reduce the value of the transaction.
