On April 10, the IRS issued its long-anticipated final regulations on deferred compensation arrangements under §409A of the Internal Revenue Code. The final regulations become effective on January 1, 2008.
The new regulations include many significant changes from the proposed regulations issued in 2005. Virtually all deferred compensation arrangements will need to be amended by the end of 2007 to comply with the new rules, including plans previously amended to comply with the proposed regulations, as well as many equity and severance plans and individual employment agreements that contain severance or change of control provisions.
On Tuesday, April 24, 2007, Seyfarth Shaw’s senior executive compensation attorneys will host a one and a half hour conference call, in which we will provide an overview of the final regulations and the implications for your company’s compensation arrangements. The conference call will also provide for an open discussion, with questions and comments from participants.
