Gregory Markel and Sarah Fedner in Seyfarth’s Litigation Department and members of the firm’s Securities & Fiduciary Duty Litigation Practice Group, will co-moderate for the New York County Lawyers Association’s “Defining Corporate Purpose: Solely Maximizing Value or Also Including Social Responsibility, Political Positions and ESG – Who Decides These Issues?” Webinar on Tuesday, July 27, 2021 at 12:30 p.m. EST. Gregory serves as the NYCLA’s program chair.

The webinar will involve a discussion of the corporate governance implications of public corporations commenting on arguably political issues, such as voting rights, supporting social responsibility issues and taking political stances. The discussion will also focus on who gets to decide the company’s direction, what management must disclose and what the company and its directors cannot do. The panel includes: Edward Rock, Martin Lipton Professor of Law, Co-Director, Institute for Corporate Governance & Finance, NYU Law and Leo E. Strine, Jr., Former Chief Justice of the Delaware Supreme Court and now a partner at Wachtell, Lipton, Rosen & Katz
