“Lawyers get back on board: Attorneys who dropped off boards after Sarbanes-Oxley are beginning to return”
Jay Myers was quoted in the article, “Lawyers get back on board: Attorneys who dropped off boards after Sarbanes-Oxley are beginning to return,” published in the July 18, 2007 issue of the Fulton County Daily Report. The article notes that in the wake of the Sarbanes-Oxley Act of 2002, many attorneys left the boards of companies that were clients of their firms. Five years after the implementation of SOX, however, some lawyers have been taking seats as board members to help improve corporate governance, bolster their business credentials and to serve as a check to advice given by in-house counsel.
The article reports that although a number of lawyers are once again serving as board members, “many lawyers are still wary of serving on boards. Seyfarth Shaw partner Joseph V. ‘Jay’ Myers III was recently asked by a health care company to serve on its board. Myers said no, primarily because Seyfarth does work for the company, and he wanted to be able to keep offering them unbiased advice.” Jay noted, “I’m their trusted adviser, which is where I want to be… I just didn’t want to have the potential conflict, or the appearance of a conflict.” Although he doesn’t currently serve on any boards, Jay said that he wouldn’t automatically rule it out in the future.
