"Conducting An Effective Internal Investigation: A Guide For In-House Counsel"
Kate Perelli's article "Conducting An Effective Internal Investigation: A Guide For In-House Counsel" was published in Aspatore Books' Best Practices For Corporate Governance and Compliance. In her article, Kate discusses the key factors associated with the role in-house counsel should play in conducting internal investigations. She discusses who should oversee an internal investigation and how the investigation should be conducted to minimize the possibility of allegations of wrongdoing that can open the door to possible criminal or civil charges.
According to Kate, "the role of in-house counsel has become vastly more complicated in recent years, in large part due to the number of corporate scandals that have made front page news." She advises that serving as in-house counsel today means that "one must clearly define what role he or she is playing at any given time in order not to inadvertently compromise corporate attorney-client and work product privileges and protections." She further explains that "whether in-house counsel conducts the internal investigation into potential wrongdoing is a decision that can only be made on a case-by-case basis. The individual who should, ultimately, conduct such an investigation is one of many crucial decisions that a corporation will have to make to ensure that its investigatory efforts will be properly credited should the Justice Department come calling."
