Lisa Schaures, Marc Fosse, and Liz Deckman to Speak at The Seminar Group's Mergers & Acquisition Tax Strategies Seminar

Lisa Schaures, Marc Fosse, and Liz Deckman will speak at The Seminar Group's Mergers & Acquisition Tax Strategies seminar in Seattle, Washington on February 5.  Lisa will serve as a moderator and Marc and Liz will serve as speakers for the session, "Compensation and Qualified Plans in M&A Deals."

The full seminar will provide a comprehensive discussion of key US federal, state, local, and international tax issues arising across a broad spectrum of M&A transactions. The program will focus on the “hot” tax issues currently affecting transactions, including new changes to Qualified Small Business Stock, expanded state nexus issues, and revisions to the US international tax rules under the One Big Beautiful Bill Act of 2025. Session topics will include valuation of private target companies (including tax aspects of valuation); structuring taxable and tax-free asset and stock acquisitions; managing compensation issues in M&A transactions; handling state and local tax considerations; structuring cross-border acquisitions; and negotiating and drafting tax provisions in definitive agreements.
