Seyfarth Shaw Coporate Department attorneys Matthew Hafter and Michael Dunn, with contributions from Paul Drizner, Ilya Bubel, Kerry Jefferson and Christine Rosso, recently completed the 2012 updates to the Bureau of National Affairs (BNA) Corporate Stock Repurchases and Going Private Portfolio. The Portfolio covers all aspects of corporate stock repurchases involving public companies, as well as privately-held companies going "more private" by repurchasing shares from stockholder groups. It also addresses broader issues of the board of directors’ duties when confronted with a transaction between the corporation and a controlling stockholder or a director with a financial interest in the transaction, and is a resource for anyone needing to advise directors on how to discharge their fiduciary duty of loyalty.
