There are numerous risks, rights, responsibilities and procedures unique to construction projects seeking LEED® Certification. It is prudent for owners, developers, design professionals and contractors to address these issues in their contracts. Seyfarth Shaw’s nationally recognized Construction Group has addressed these issues in its new Green Building Addendum for Design Contracts and its updated Green Building Addendum for Construction Contracts. These Addenda can be attached to and used with virtually any type of design or construction contract. Further, because the Addenda are based upon the same principles and terms, they provide owners and developers with a comprehensive and integrated solution for their design and construction contracts. The use of menu options for certain issues, such as remedies if LEED Certification is not achieved, allows for seamless customization based on the specific project and the parties’ risk profile.

Seyfarth Shaw’s new Green Building Addenda for Design Contracts and the updated Green Building Addendum for Construction Contracts address the following issues, among others:

  1. Definitions for green building issues.
  2. The type and level of LEED Certification being sought for the project.
  3. The parties’ responsibilities for the LEED Registration and Certification process.
  4. The Prerequisites and Credits for the project and the parties’ responsibilities concerning them.
  5. The submittal process for green building components.
  6. The correlation between LEED Certification and substantial completion, final completion and final payment.
  7. Design changes that affect Prerequisites and Credits.
  8. Scheduling issues concerning green components and processes.
  9. Allowances for green components.
  10. Numerous optional remedies if LEED Certification is not achieved, or specific Credits are not satisfied.
