Real Estate Partner Robert Bodansky’s article, “Contractor Buys Come with Strings,” was published in the March 3, 2011 edition of the Washington Business Journal. In the article, Robert explains some of the rules and regulations that go along with being a federal contractor, rules that should be understood before purchasing a company that has a contract with the federal government. According to Robert, “entrance into the world of contracting brings reporting obligations for both the acquired company and, very possibly, all the affiliated companies that comprise your entire operation.”

What is the best course of action, then, when purchasing a new company? “The lesson to be learned here is clear,” Robert concludes. “If a target company or property has any government contracts or GSA leases, you need to work with someone knowledgeable in government contracting and OFCCP regulations to help structure the deal before you close, so as to minimize any unanticipated consequences.”
