Robert Weber and Meghan Barrett Published in Boardroom Briefing
“A Board Committees Primer”

Bob Weber and Meghan Barrett published the article, “A Board Committees Primer,” in the Autumn 2008 issue of  Boardroom Briefing. In their article, Bob and Meghan provide an overview of board standing committees and the various applicable exchange rules. The article also discusses the function of certain special committees and examines recent Delaware court decisions that provide helpful insight and direction for members of board committees. The authors observe that, “Individuals who serve on board committees have the opportunity to provide valuable service to corporation and its shareholders. However, service on such committees should be performed with diligence and care. Among other things, committee members need to take sufficient time, adequately document actions they have taken and consult with independent advisors to the extent appropriate.”
