Seyfarth Shaw Adds Corporate Technology and Outsourcing Team to Atlanta Office

Group Boasts Particular Strengths in Outsourcing, Public-Private Partnerships, and Acquisitions and Equity Investments in Cleantech & Renewable Energy Companies

Atlanta, GA (July 1, 2009)—Seyfarth Shaw LLP, one of America’s leading full-service law firms, today announced that a team of corporate and technology attorneys has joined the firm. Robert C. Reynolds, Jr.; Shawn K. Baldwin; and S. Joel Cartee join the firm as partners. All were previously partners at Alston & Bird LLP. Baldwin and Cartee join the firm’s Atlanta office while Reynolds will work from both Atlanta and the firm's Washington, D.C. office.

The new partners’ skills complement the strengths of Seyfarth Shaw’s corporate outsourcing and telecommunications practices. In addition, the team builds upon the firm’s significant depth of knowledge and experience in infrastructure and renewable energy matters. The group brings deep capabilities in outsourcing; technology and licensing; mergers and acquisitions; joint ventures and alliances; and privacy and security matters.

Partner Biographies

Robert C. (“Bob”) Reynolds, Jr. is one of the leading outsourcing lawyers in the country and has often been recognized by Chambers and other publications for his technology and outsourcing capabilities. In his sourcing practice, Reynolds is active in providing support for the development of global and domestic sourcing strategies, project implementation and technology deployment. Reynolds, a founding co-chair of his previous firm’s energy infrastructure team, also focuses his practice on strategic enterprise projects, advanced energy platforms, carbon management strategies and complex sourcing arrangements. In the energy sector, Reynolds focuses on wind, solar and other generation platforms, ethanol, biodiesel, CTL and other fuels and Kyoto, CCX, storage and other carbon-driven projects.

He received his undergraduate degree, magna cum laude, from the University of Virginia and he received his J.D. from Vanderbilt University where he was an editor of the Vanderbilt Law Review and elected to the Order of the Coif. Reynolds also plays an active role in the community, having served on the boards of a number of non-profits with a focus on child welfare. He is admitted to practice law in Georgia, Maryland and the District of Columbia.

Shawn K. Baldwin’s practice focuses on strategic corporate transactions, including: mergers and acquisitions, corporate technology law, and outsourcing, with a primary focus in the technology and energy industries. He has extensive experience in representing clients engaged in complex and strategic transactions such as the creation, maintenance and dissolution of international joint ventures and strategic alliances, and representing clients in targeted strategic mergers, acquisitions and other general corporate matters. Baldwin has represented and counseled clients in structuring, funding, negotiating and documenting joint ventures located in the United States and numerous international jurisdictions. He has also represented clients in large business process and information technology outsourcing arrangements with aggregate contract value in the billions of dollars, many with international components. He has negotiated domestic, near-shore and off-shore outsourced service contracts for information technology, human resources, finance and accounting, logistics, call center and other business processes. Baldwin has represented clients in dozens of information technology transactions, including software and intellectual property development, licensing and implementation, hosted service arrangements, and systems procurement and integration.

Baldwin received his undergraduate degree from Atlantic Union College and his J.D. from the University of Pennsylvania. He is admitted to the Georgia Bar.

S. Joel Cartee represents a broad range of corporations, government entities and private equity investors in connection with complex global transactions. His primary practice areas include: mergers and acquisitions, securities, project finance, joint ventures, strategic alliances and private equity transactions. He has extensive experience in structuring and negotiating strategic acquisitions and equity investments in the renewable energy, cleantech and telecommunications industries. Cartee also represents clients in connection with international transactions involving climate change, carbon management and finance, and other Kyoto Protocol related matters.

Cartee has been appointed Special Assistant Attorney General for the State of Georgia in connection with his representations of the State of Georgia Retirement System and the State of Georgia Office of Treasury and Fiscal Services. He is a member of the American and Atlanta Bar Associations and the State Bar of Georgia, as well as the Business Law Section of the State Bar of Georgia. He is also a member of the Section of Business Law and Section of Environment, Energy and Resources of the American Bar Association. Cartee received his undergraduate degree from the University of Alabama where he also earned his J.D. He is admitted to practice law in Georgia.
