Seyfarth to Host and Suzie Saxman, Aaron Gillett, and Aly Audy to Present ACG Chicago Sunrise Session "What's 'Market' in Middle Market M&A Deal Terms: Trends and Market Shifts"

Suzie Saxman, partner in Seyfarth's Corporate department and co-chair of the firm’s Mergers & Acquisitions practice group, Aaron Gillett, partner in Seyfarth's Corporate department and vice chair of the firm's Mergers & Acquisitions practice group, and Alessandra Audy, associate in Seyfarth's Corporate department, will serve as speakers at the ACG Chicago Sunrise Session, "What’s “Market” in Middle Market M&A Deal Terms: Trends and Market Shifts," on November 5. This program will provide an overview of key deal terms comprising the “indemnity package” and related issues included in almost all private target acquisition agreements to address a seller’s potential post-closing liability to a buyer and set the parameters of a buyer’s ability to claw back purchase price from a seller. Presenters will discuss 2024/H1 2025 data and findings from Seyfarth's annual survey, including how parties are continuing to use representation and warranty insurance to allocate risk, and will share their perspective on where things might be headed.
