Seyfarth is a sponsor of the Information Management Network (IMN)'s 25th Annual US Real Estate Opportunity & Private Fund Investing Forum, taking place June 16-18 in Newport, Rhode Island.

John Napoli, co-managing partner of Seyfarth’s New York office and co-chair of the firm’s national tax practice, will serve as a speaker for the session, "Tax-advantaged Real Estate Capital Raising: Funds, REITs, DSTs & QOFs," on June 17. This session will focus on ways to raise capital in real estate—institutional vs private wealth; trends towards private wealth—the $84 trillion wealth shift; how to connect with the private wealth network; utilizing fund structures; types of REITs and benefits/detriments; DSTs—structuring, tax benefits and section 1031, and UPREITs; and generational wealth estate tax planning opportunities.

David Warburg, partner in Seyfarth's Corporate department, will serve as a speaker for the session, "Fund Launch Pain Points: Efficient Fund Structuring, Smooth Administration, Regulatory Governance & Investor Communications," on June 17. The session will cover new checklist items for a successful fund administration transition; client surprises and communications; supporting asset valuations, property performance, and tax assessments; reporting and compliance gaps and how to fill them; fund accountants, lawyers, and administrator—what you need to know; what you can and should offshore; what kind of training, education, and hand holding is provided; experience and expertise should you look for in different outsourced solution providers; structuring the GP strip—carried interest, incentive fees, promote sharing, waterfalls, and multi-hurdle promotes; the latest in structuring waterfalls; what you should include in your initial docs; different structures for different asset types and strategies; and what’s new with anchor investors, sidecars, and separate accounts.

Michael Lobie, partner in Seyfarth's Corporate department, will serve as a speaker for the session, "Exit/Dispositions Strategy: Where Are Exit Cap Rates For Different Assets?," on June 17. The session agenda will include end of fund choices—what kind of optionality you really have; who the IPO option is open to; making more money on a bulk or individual sale; selling to related entities and how not to get yourself in trouble; special considerations for development and distressed deals; and the last deal you sold—what kind of pain you endured.
