An article by Washington, D.C. Partner Stanley Jutkowitz was published June 7 in the Washington Business Journal. In the article, Stanley explains the security arrangements foreign-owned businesses interested in performing classified work for the United States government need to make. The requirements include having at least three U.S. citizens on the board of directors, in addition to having the chairman of the board and key management personnel be resident U.S. citizens; establishing a permanent government security committee; and appointing a facilities control officer and technology control officer to advise the committee on protecting classified and controlled unclassified information.

Stanley concludes, “Any company under foreign ownership or influence that hopes to win classified contracts will have to cede some control over the enterprise to a team of outside, cleared U.S. citizens. Is it worth it? That’s a decision for the company’s management, but if there is any hope of profiting from the defense or intelligence markets, these agreements are a necessity.”
