Jeff advises founders, first-time sellers, private equity sponsors, and strategic acquirers on complex, high-stakes transactions. He regularly represents founder-owned businesses in significant liquidity events while also counseling repeat-player private equity and institutional buyers, giving him a dual-sided perspective developed from sitting on both sides of the negotiating table. 

Jeff guides clients through mergers and acquisitions, private equity investments, and strategic transactions, including sell-side exits, buy-side acquisitions, platform investments, and add-on transactions. His experience spans the full transaction life cycle—from deal structuring and LOI negotiation through diligence, closing, and post-closing integration.

He represents companies, investors, and sponsors across the technology, financial services, insurance, manufacturing, and retail industries. Drawing on extensive experience negotiating against sophisticated private equity deal teams, Jeff anticipates diligence priorities, leverage points, and structural pressure before they arise, helping clients protect value and move transactions efficiently to closing.

In addition to his transactional practice, Jeff advises clients on securities offerings, regulatory compliance, and corporate governance, including public and private offerings, venture capital investments, fund formations, and other financings. He also represents clients in matters before the Securities and Exchange Commission (SEC) and the Financial Industry Regulatory Authority (FINRA).
