James O’Brien is a partner in the Real Estate Practice Group of Seyfarth Shaw LLP’s Washington, D.C. and San Francisco offices.

Mr. O’Brien advises owners, investors and corporate users of real estate in the acquisition, disposition, leasing, and financing of their real estate assets.  His clients include private equity funds and other institutional investors, Fortune 500 companies, and privately held businesses.  Mr. O’Brien has represented Stockbridge Real Estate Funds, Realterm, LACERA, Jamestown Properties, and Fisher Investments, among other clients.

He has more than 20 years of experience handling real estate acquisitions and dispositions, real estate financing and restructuring transactions, leasing transactions, and joint venture formation.  He has worked on transactions involving office, industrial, multi-family, mixed-use, and hotel properties throughout the United States, with a particular emphasis on properties located in California.  Though principally resident in Washington, D.C., Mr. O’Brien lived and worked in the Bay Area for more than a decade, and regularly practices in the firm’s San Francisco office.

Mr. O’Brien is a member of the firm’s Pro Bono Committee and coordinates pro bono activities for the firm’s Washington, D.C. office.  His pro bono practice has included work for Family and Medical Counseling Services, the Washington Bach Consort, and the Legal Aid Society of San Mateo County.  Mr. O’Brien is active in the Urban Land Institute and is a member of the ULI Washington Trends Conference Committee.

Representative Engagements

  • Represented buyer in connection with the $120 million acquisition of a six-building, 440,000 square foot office complex in San Jose, CA.
  • Represented buyer in connection with the $220 million acquisition of an office building in San Francisco, CA and the $130 million acquisition financing arranged by Massachusetts Mutual Life Insurance Company in connection therewith.
  • Represented buyer in connection with the $94 million acquisition of an office building in San Francisco, CA and the $46.5 million acquisition financing arranged by Bank of America, N.A. in connection therewith.
  • Represented buyer in connection with the $345 million acquisition of a hotel and casino in Las Vegas, NV and $288 million in senior and mezzanine acquisition financing arranged by Greenwich Capital in connection therewith.  Negotiated joint venture agreement and development management agreement for the repositioning of the hotel with SBE Entertainment Group who acts as manager for the project.
  • Represented seller in connection with the $260 million disposition of a three-building, 425,000 square foot office complex in Sunnyvale, CA.
  • Represented equity partner in connection with $17.5 million equity investment in a 25-acre retail development site in San Jose, CA.  Negotiated joint venture agreement and development management agreement with Hunter/Storm, LLC, who is sponsor and development manager for the project.
  • Represented equity partner in connection with $12.5 million equity investment in four industrial buildings and a 25-acre development parcel in Charlotte, NC. Negotiated joint venture agreement, property management agreement, and leasing agreement with Trinity Capital Advisors, who acted as sponsor of the investment and who manage and lease the property for the joint venture.
  • Represented mezzanine investor in connection with UCC foreclosure of security interest in mezzanine collateral and subsequent refinancing of senior indebtedness secured by a portfolio of nine hotel properties. Negotiated $67 million mortgage loan, $38 million senior mezzanine loan, and $15 million junior mezzanine loan arranged by JPMorgan Chase Bank, N.A. in connection therewith.
