About the Program

Seyfarth is pleased to host the International Trademark Association’s (INTA) North America Roundtable, “Trademarks in Business Transactions and Bankruptcy,” on Tuesday, October 27 at Seyfarth’s Boston office.

During this interactive roundtable, participants will examine trademark considerations throughout the lifecycle of a transaction, from initial due diligence and risk assessment through closing and post-closing integration. The discussion will address practical issues that can affect a buyer’s ability to operate a brand immediately after closing, including ownership and chain of title, licensing and assignment restrictions, coexistence agreements, security interests, international portfolios, and transitional use arrangements.

Topics will include:

• Identifying ownership, chain-of-title, and licensing concerns during diligence
• Evaluating change-of-control and assignment restrictions
• Addressing liens, security interests, disputes, and other encumbrances
• Navigating cross-border assignments and recordation requirements
• Structuring transitional trademark licenses and brand license-backs
• Managing carve-outs, rebranding, and post-closing portfolio transitions
• Assessing trademark rights in bankruptcy, insolvency, and distressed transactions
• Considering emerging diligence issues involving AI-generated branding, social media assets, and digital platforms
