Stephanie Magnell and Zachary Jacobson Write on Importance of Contract Terms in Contract Disputes in Law360

Seyfarth’s Stephanie Magnell and Zachary Jacobson co-authored an article, “Contract Disputes Recap: The Terms Matter,” in Law360 on February 23. The Seyfarth attorneys discussed that all contract terms matter and what may appear — at signing — to be noncore terms, can later become central to a dispute.

“Errors or mistakes in contract administration procedures do not alter the parties' contractual duties. However, the parties' duty to cooperate in contract performance does not create a duty to agree in dispute resolution.”
