Recent Experience
- Represented two global financial institutions in the structuring and issuance of $1 billion of Asset-Backed Securities backed by trade finance assets through their branches in Europe, Asia, and the Middle East. The transaction involved extensive diligence on the banks’ existing systems, trade finance product offerings, and documentation. The trade finance assets included import finance loans, export finance loans, invoice financing, receivables financing, export letter of credit discounting, import draft discounting, and bill discounting.
- Represented Napier Park Global Capital in three Railcar ABS issuances, with a total issue size of $1.077 billion backed by 23,714 tank and non-tank railcars. The first issuance involved a complex consent solicitation executed in parallel with a refinancing of senior notes. The second and third issuances were designated as Green Bonds, an ESG milestone highlighting the importance that the railcar sector plays in low carbon emissions transportation.
- Represented a financial institution, as agent, in a $1.1 billion multi-tranche, revolving film finance facility collateralized by 86 major motion pictures.
- Represented two major commercial banks as co-agents and lenders in a $1.2 billion receivables purchase facility by the banks for a major North American agricultural processor and ingredient provider.
- Represented a global investment bank as sole structuring agent and initial purchaser, and other initial purchasers, in a $250 million Rule 144A offering of Fixed-Rate Secured Railcar Equipment Notes, Class A-1, and $375.5 million Fixed-Rate Secured Railcar Equipment Notes, Class A-2.
- Represented a financial institution, as a lender and structuring agent, in a $750 million agricultural loan securitization involving a syndicate of seven banks and four commercial paper conduits.
- Represented the issuer, originator, loan seller, collateral manager, and risk retention holder in connection with the warehouse and subsequent aviation loan CLO transaction.
- Represented a global investment bank in a $140 million securitization of 14 aircraft loans by Republic Airways, a transaction involving the issuance of securities through a private placement.
- Represented a global investment bank in several marketplace lending securitization matters, ranging from $120 million to $250 million, including as lender and agent in (a) a $250 million warehouse facility provided to a consumer lender to fund its purchase of marketplace loans, and (b) as placement agent in a $120 million ABS backed by marketplace loans originated by a digital lender.
- Represented the securities arm of a global investment bank in a proposed $1.5 billion aircraft CLO transaction.
- Represented a marketplace lender that provides student loan refinancing, mortgages, and other types of personal loans, in connection with a financing of approximately $180 million risk retention securities retained from various student loan-backed securitizations.
- Represented a marketplace lender that provides student loan refinancing, mortgages, and other types of personal loans, and its subsidiary, as loan seller, sponsors, and servicing administrator, in a $169 million residential mortgage securitization under Rule 144A.
- Represented a major bank in the structuring and documentation of a back-to-back loan total return swap (LTRS) arrangement under which cash positions in syndicated loans, acquired by certain affiliates to hedge short LTRS positions with their buy-side clients, may be sold from time to time and replaced with long LTRS entered into with third-party asset-backed commercial paper (ABCP) conduits and other third parties.
- Represented a real estate finance company, as special servicer’s counsel, in a $999.7 million transaction collateralized by 48 commercial mortgage loans secured by 125 properties spanning office, retail, and multifamily assets across the US.
- Represented a trust with the formation and closing of a $250 million investment fund to purchase, finance, and securitize up to $800 million of mortgage loans from Freddie Mac.
- Represented a leading private equity fund in its role as investment advisor for the third-party institutional investors in the equity of a $360 million aircraft engine asset-backed securitization, involving the purchase of 32 aircraft engines.
